Addendum to the Terms and Conditions for Professionals

Version of 3 August 2026

This addendum is an integral part of the Terms and Conditions for Professionals set out on the following pages. The Professional must read it and expressly accept it in order to continue using the professional features of the platform.

Professional's responsibility

Each Professional declares and guarantees that:

  • all the information provided in their profile is truthful and up to date;
  • they hold any qualifications, authorizations and licences required to carry out their activity;
  • the services and products offered comply with the laws applicable in the countries where they are provided or shipped;
  • they are solely responsible for the consultations, treatments, prescriptions, products sold and their shipping.

Exclusion of Syncro's liability

Syncro is exclusively an intermediation platform between users and professionals and:

  • does not directly provide professional or healthcare services;
  • does not verify in advance the truthfulness of the statements made by Professionals;
  • does not guarantee the identity, qualifications or reliability of Professionals beyond any checks expressly indicated on the platform;
  • is not responsible for the content of consultations, therapeutic decisions, treatments, products sold, shipments, delays, lost goods, product defects or any damage arising from the relationship between the Professional and the Client.

Right of suspension

Syncro reserves the right, at its sole discretion and without obligation to state reasons, to suspend or close any account, remove services, products or content and interrupt access to the platform where it considers that these conditions or applicable law have been breached or that there are risks for users or for the platform.

These Terms must be accepted by the Professional during registration by ticking the relevant checkbox.

1. Platform operator

2. Scope

These Terms govern the relationship between Syncro S.r.l. and the professionals, businesses, companies, associations and other economic operators that use the platform to present, promote and sell their products or services.

By accepting these Terms, the Professional declares that they act within their professional or business activity.

3. Role of Syncro

Syncro is a platform that facilitates the meeting between Professionals and users interested in services, consultations, paths, packages, subscriptions, events and products.

Unless expressly stated otherwise, the contract for the product or service is concluded directly between the Professional and the client.

The Professional remains solely responsible for: the product or service offered; the performance of the service; the information and prices published; the support provided to the client; the tax, professional and administrative obligations connected with their activity.

4. Registration and approval

The application as a Professional is subject to Syncro's approval.

The Professional undertakes to provide complete, correct and up-to-date information. Syncro may: request additions or clarifications; verify the declared information; reject an application; suspend the publication of the profile; revoke the approval in case of irregularities.

Profile approval does not guarantee a minimum number of views, requests, clients or sales.

5. Professional requirements

The Professional declares: to be at least 18 years old; to have the necessary legal capacity; to lawfully carry out their activity; to hold any required authorizations, registrations, qualifications or insurance policies; to comply with the law applicable in the countries where they operate; to provide Syncro with truthful tax and professional data.

Syncro may request documentation supporting the declarations made.

6. Profile and content

The Professional is responsible for the uploaded content, including: the name and description of the activity; biography and qualifications; images, videos and documents; prices; availability; products and services; provision conditions.

Publishing false, misleading, discriminatory, offensive or unlawful information, or information that violates third-party rights, is prohibited.

The Professional guarantees the right to use the uploaded content and grants Syncro a non-exclusive, royalty-free licence to display and promote it through the platform and its communication channels.

7. Products and services

The Professional may publish the offer types made available by Syncro, for example: single sessions; hourly-rate services; packages; monthly or annual subscriptions; courses; events; digital products; services priced "from"; services on quotation.

For each offer, at least the following must be clearly indicated: main features; price; duration, where applicable; delivery methods; any requirements or limitations; applicable cancellation or refund conditions.

8. Purchases through Syncro

Offers on Syncro must be purchased or booked through the tools made available by the platform.

The Professional must not use Syncro solely to obtain the client's contact and conclude the same transaction externally in order to avoid commissions or tracking.

After the purchase, the Professional may use the chat or the available tools to: agree on the service details; propose dates and times; send instructions; share links; deliver any materials or files connected with the purchase.

9. Syncro commission

Unless different conditions apply under a specific plan, Syncro applies a 10% commission on every sale concluded through the platform.

The commission is calculated on the price of the product or service actually paid by the client, net of: any applicable VAT; subsequently refunded amounts; discounts applied before the purchase.

Any commissions applied by the payment provider may be charged separately and are shown to the Professional before sales are activated.

The Syncro commission may be withheld automatically at the time of payment.

10. Subscription plans

Syncro may offer professional subscription plans.

Depending on the subscribed offer, plans may include: a set number of leads or sales without commission; greater visibility; priority placement; additional features; dedicated economic conditions.

Until the threshold included in the plan is reached, no commission applies to the included transactions. Beyond that threshold, the 10% commission applies, unless different conditions are expressly stated in the plan.

The number of included leads or sales, the price, the duration and the renewal of the subscription must be shown before subscribing.

11. Payments and Stripe

Payments may be processed through Stripe Connect or another authorized provider.

To receive payments, the Professional may be required to: create or link a payment account; complete the identification procedure required by the provider; provide tax and banking data; accept the provider's terms.

Syncro does not store full payment card data.

Failure to verify the payment account may prevent or delay the receipt of funds.

12. Settlement of amounts

The amounts due to the Professional, net of commissions and any amounts owed, are settled according to the payment provider's timelines.

Settlements may be temporarily suspended in case of: payment disputes; refund requests; suspected fraud; identity verification; breach of these Terms; obligations imposed by law or by the provider.

13. Tax obligations

The Professional is responsible for: issuing invoices, receipts or other tax documents to the client; declaring the compensation received; applying VAT or other taxes; complying with the tax obligations in their own country.

Syncro will issue the Professional the documentation relating to the commissions charged, in accordance with applicable law.

14. Cancellations and refunds

The Professional must indicate the cancellation and refund conditions applicable to their offer.

If the service is not provided for reasons attributable to the Professional, the client may be entitled to a full refund.

If the service is partially performed, Syncro may assess a full or partial refund based on: the purchased service; the evidence provided by the parties; applicable law; the conditions published by the Professional.

When a sale is refunded, the Syncro commission on the refunded amount is not due, except for non-recoverable costs applied by the payment provider.

15. Disputes and chargebacks

In case of a bank dispute or chargeback, the Professional must cooperate by promptly providing: the order confirmation; communications with the client; proof of performance or delivery; the conditions accepted by the client; any other requested documents.

Disputed amounts and any provider costs may be temporarily withheld or recovered from the amounts due to the Professional.

16. Relations with clients

The Professional undertakes to: communicate correctly and professionally; respect appointments; provide the described service; respond to requests within reasonable times; protect the data and information received; not discriminate against users; manage complaints and support requests.

Asking the client to cancel or move externally a transaction already started on Syncro in order to avoid commissions is prohibited.

17. Prohibited products and services

Products or services that are: illegal; fraudulent or misleading; harmful to people's dignity or safety; infringing intellectual property rights; subject to authorizations not held; contrary to the payment provider's rules; or expressly prohibited by the platform policies cannot be published or sold.

Syncro may immediately remove non-compliant offers.

18. Reviews

Clients may publish reviews about the experiences they actually had with the Professional.

Syncro may moderate or remove reviews that are: false; offensive; discriminatory; irrelevant; or published in violation of the law or the platform rules.

Syncro does not guarantee the removal of negative reviews when they represent legitimate client opinions.

19. Account suspension and closure

Syncro may restrict, suspend or close the Professional's account in case of: breach of these Terms; false information; failure to provide services; repeated, well-founded complaints; fraud or suspected fraud; non-payment of amounts due; violation of the law; damage to the platform or users; attempts to circumvent commissions or payment systems.

Where possible, Syncro will communicate the reasons for the decision and allow the Professional to provide clarifications, consistently with the obligations applicable to online platforms.

20. Cancellation by the Professional

The Professional may request the closure of their account.

Closure does not remove: payment obligations already accrued; orders still to be completed; pending disputes or refunds; tax and legal obligations; data that Syncro must retain by law.

21. Personal data protection

Personal data are processed in accordance with Syncro's Privacy Policy and applicable law.

The Professional must use client data exclusively for the performance of the purchased service and may not use them for further purposes, including independent marketing, without an appropriate legal basis.

Transparency about data processing and data subjects' rights is a fundamental principle of the GDPR.

22. Syncro's liability

Syncro makes available the technological infrastructure to facilitate the meeting and the transaction between the parties.

Within the limits allowed by law, Syncro does not guarantee: the achievement of economic results; a minimum number of clients; the quality or suitability of the services; the absolute absence of technical interruptions; user behaviour.

Syncro remains liable where such liability cannot be excluded by law.

23. Changes to the Terms and economic conditions

Syncro may update these Terms, the features and the economic conditions.

Substantial changes will be communicated with reasonable notice and will not have retroactive effect on completed sales.

The Professional may withdraw and close the account before the new conditions come into force.

24. Applicable law and jurisdiction

These Terms are governed by Italian law.

Disputes between Syncro and the Professional will fall under the exclusive jurisdiction of the Court of Trieste, without prejudice to mandatory jurisdiction provided by law.
